Terms of Service

1. Acceptance of Terms

By accessing or using DealerRadar.ai (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (“Customer” or “Dealer”) and DealerRadar.AI LLC, a Kansas limited liability company (“Company,” “we,” “us,” or “our”).

2. Description of Service

DealerRadar.ai is a multi-tenant software-as-a-service (SaaS) platform that provides commercial truck and trailer dealers with branded online storefronts, inventory management tools, lead capture, and related features. The Service is provided on a subscription basis as described on our Pricing page.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Accounts & Registration

To use the Service you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at r@truckradar.ai if you suspect any unauthorized access to your account.

You must be at least 18 years old and legally capable of entering into contracts to create an account.

4. Billing & Subscriptions

• Free Trial. New accounts receive a 14-day free trial. No credit card is required to start a trial. After the trial period ends, your account will be limited until a paid subscription is activated.
• Subscription Plans. Paid plans are billed monthly or annually as selected at signup. Prices are listed on our Pricing page and may change with 30 days’ written notice to existing subscribers.
• Payment. All payments are processed by Stripe. By providing payment information you authorize us to charge your payment method on a recurring basis for your selected plan.
• Cancellation. You may cancel your subscription at any time from your account dashboard. Upon cancellation, your access to the Service continues until the end of your current billing period. No partial refunds are issued for unused portions of a billing period.
• Upgrades & Downgrades. Upgrades take effect immediately and are prorated. Downgrades apply at the start of the next billing cycle. Your data is preserved through plan changes.
• Taxes. Prices are exclusive of applicable sales, use, or similar taxes, which are your responsibility.

5. SMS Communications

DealerRadar sends SMS messages to two audiences as part of the Service:

• Dealer staff notifications — account holders receive SMS alerts for new leads, missed calls, and call activity on their DealerRadar line. Staff opt in by providing their phone number during account setup and agreeing to these Terms.
• Buyer follow-up messages — truck buyers who submit an inquiry form on a dealer’s storefront may receive SMS messages from that dealer confirming receipt of their inquiry and facilitating follow-up. Buyers opt in via the storefront contact form, which displays a clear consent disclosure.

Program name: DealerRadar SMS Notifications

Message frequency: Varies based on account activity and lead volume. Dealer staff typically receive one message per lead or call event. Buyers typically receive 1–3 messages per inquiry.

To opt out: Reply STOP to any message at any time. You will be immediately unsubscribed and will receive no further messages. To opt back in, reply START.

6. Dealer Responsibilities

You agree to:

• Accurate inventory. Ensure all inventory listings, descriptions, prices, and photos are accurate, current, and not misleading. Remove sold or unavailable units promptly.
• Lawful operation. Use the Service only in connection with the lawful sale and marketing of commercial trucks and trailers, in compliance with all applicable federal, state, and local laws.
• No spam. Not use the lead capture or messaging features of the Service to send unsolicited commercial messages. You must comply with the CAN-SPAM Act and all applicable anti-spam laws.
• Account security. Maintain reasonable security practices to prevent unauthorized access to your account.
• Content responsibility. Be solely responsible for all content you upload, publish, or transmit through the Service, including inventory data, photos, and communications with leads.

7. Prohibited Uses

You may not use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Upload or transmit malicious code, viruses, or other harmful software
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Scrape, crawl, or systematically download Service content without our written permission
• Resell or sublicense the Service without our written consent
• Use the Service for any purpose other than the lawful marketing and sale of commercial vehicles
• Engage in any conduct that disrupts or interferes with the Service or the experience of other users

8. Intellectual Property

The Service, including all software, code, design, text, graphics, and other content created by us, is owned by DealerRadar.AI LLC and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond a limited, non-exclusive license to use the Service for its intended purposes during your subscription term.

You retain ownership of all content you upload to the Service (“Customer Content”). By uploading Customer Content, you grant us a worldwide, royalty-free license to host, store, display, and transmit that content solely as necessary to provide the Service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

We do not guarantee any specific volume of leads, traffic, or sales results from use of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEALERRADAR.AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless DealerRadar.AI LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Governing Law, Arbitration & Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Kansas, without regard to conflict of law principles.

Informal Resolution First

Before initiating arbitration or any legal proceeding, you agree to give us a chance to resolve the dispute informally. Send a written description of your dispute to r@truckradar.ai with the subject line “Dispute Notice.” We will attempt to resolve the matter within 30 days of receipt. If we cannot reach a resolution within that period, either party may proceed to binding arbitration as described below.

Binding Arbitration

Except for claims that qualify for small claims court, all disputes, claims, or controversies arising out of or relating to these Terms or the Service — including questions about the scope or enforceability of this arbitration provision — will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individual consumers) or Commercial Arbitration Rules (for business customers), as applicable, with the arbitration seated in Kansas City, Kansas.

The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction. The AAA rules are available at www.adr.org.

Class Action Waiver

Important — read carefully

YOU AND DEALERRADAR EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. IF ANY PORTION OF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THE ENTIRETY OF THE ARBITRATION PROVISION SHALL BE NULL AND VOID.

Arbitration Opt-Out

You may opt out of this arbitration agreement within 30 days of first using the Service. To opt out, send written notice to r@truckradar.ai with the subject line “Arbitration Opt-Out” and include your name, email address, and a statement that you wish to opt out of the arbitration agreement. Opting out does not affect any other provision of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in your account dashboard at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
